These Terms of Use (“Terms”) govern your access to and use of the digital services and platforms under esyndico®. They work in conjunction with our Platform Terms, Privacy Policy, Cookie Policy, Payment Terms, and, where applicable, the Supplier Code. Please read them carefully.
This document constitutes a legally binding agreement between you (“User”, “you”, or “your”) and SYNDICO SAS, a simplified joint stock company (SAS) incorporated under French law, registered with the Paris Trade and Companies Register under number 984 871 095, having its registered office at 38B Boulevard Victor Hugo, 06000, Nice, France (hereinafter referred to as “SYNDICO”, “we”, “us” or “our”).
By accessing or using any part of the platform, including but not limited to esyndico.com, mymarina.esyndico.com, supplier.esyndico.com, myboat.esyndico.com, Syndico Owner App, and Syndico Technician App, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the services.

3.1. Binding Agreement
By accessing the platform, you accept and agree to comply with these Terms. These Terms form a binding agreement and govern your use of the platform, superseding any prior agreements.
3.2. Updates and Modifications
SYNDICO may update or amend these Terms at any time. When we do, we will revise the “Last Updated” date above. You are advised to check this page periodically for any changes. Continued use of the services after updates constitutes acceptance.
3.3. Supplemental Terms
In some cases, additional terms may apply, including our Platform Terms, Privacy Policy, and any applicable role-specific policies. These are considered part of these Terms.
4.1. Eligibility
To access or use the services, you must be at least 18 years old or the age of legal majority in your jurisdiction. You affirm that you are legally permitted to use the platform and that you are not barred under any applicable laws.

4.3. Account Responsibilities
You are responsible for all activities under your login credentials. You must safeguard your password and notify us immediately at contact@esyndico.com of any unauthorized use. SYNDICO is not liable for any loss or damage arising from your failure to secure your account.
4.4. Multi-Role Use
If you operate in more than one capacity (e.g., supplier and marina), you must maintain the integrity of each role and adhere to role-specific obligations.
5.1. Authorized Use
You agree to use the platform in accordance with all applicable laws and only for legitimate purposes related to marina management, boat ownership, service provision, or booking-related activities.
5.2. Prohibited Conduct
- Violate any applicable laws or third-party rights
- Upload malicious content, viruses, or harmful scripts
- Impersonate others or provide false information
- Exploit vulnerabilities or reverse engineer the platform
- Use the services to compete with SYNDICO or disrupt operations
5.3. User Content
By uploading content (e.g., boat details, berth listings, photos), you grant SYNDICO a non-exclusive, royalty-free, worldwide license to use, store, display, reproduce, and distribute such content for the purpose of providing and improving the services.
5.4. Moderation
SYNDICO may, at its sole discretion, remove or suspend any content or user account found in violation of these Terms, without prior notice.
6.1. SYNDICO’s Role
SYNDICO acts as a neutral intermediary connecting users but does not supervise, validate, or guarantee the performance of marinas, suppliers, or boat owners.
6.2. Boat Owners & Captains
- Provide accurate vessel and booking information
- Comply with marina rules and maritime safety
- Settle payments promptly
6.3. Marinas
- Ensure the accuracy of berth availability and conditions
- Handle requests and bookings in a timely manner
- Comply with safety and environmental regulations
6.4. Suppliers
- Deliver services professionally and in accordance with laws and licenses
- Honor quotes and response times
- Maintain insurance where required
6.5. Technicians
- Follow task assignments and provide logs of intervention
- Respect client privacy and marina rules
6.6. Guests
You agree to respect the limited access granted and not circumvent access restrictions.
All content, designs, software, and trademarks on the platform are the exclusive property of SYNDICO or its licensors. Unauthorized use, copying, or distribution is strictly prohibited. You retain rights to your uploaded content but grant us limited rights to operate and improve our services.
8.1. Third-Party Processing
Payments are processed through certified third-party services (e.g., Stripe). You agree to their respective terms and authorize SYNDICO to act as limited payment collection agent for suppliers or marinas.
8.2. Invoices and Tax
Invoices are automatically generated. Users are responsible for applicable VAT, customs, or port-related charges, based on their location.
8.3. Refunds
Refund requests are governed by our Payment Terms. Refunds may be limited by service status or prior agreement.
8.4. Disputes
Users must report payment-related disputes within 10 business days. SYNDICO will assist in mediating but is not liable for outcomes.
We aim to provide a reliable platform with 99% uptime. Downtime for maintenance will be communicated in advance.
SYNDICO shall not be held responsible for outages due to:
- Force majeure
- Third-party host failures
- Regional internet disruptions
- Location data may be collected to suggest nearby berths or technicians
- Push notifications are enabled by default and can be adjusted in settings
- Background usage may impact device performance and battery
- All app use is subject to respective App Store terms
SYNDICO reserves the right to suspend or terminate access if:
- The Terms are violated
- Fraud or misuse is detected
- Legal obligations require it
You may terminate your account by written request to contact@esyndico.com. Some obligations may survive termination (e.g., unpaid invoices).
To the maximum extent permitted by law, SYNDICO disclaims liability for:
- Acts or omissions of third-party marinas or service providers
- Indirect or consequential losses
- Marine or environmental risks beyond our control
Total liability is limited to amounts paid to SYNDICO in the 12 months preceding the incident.
These Terms are governed by French law. In case of disputes, the competent courts of Paris shall have exclusive jurisdiction.
Users agree to first attempt informal resolution before commencing legal proceedings.
